Acceptance of terms
By accessing or using ActLoom, you agree to these Terms of Service. If you enter into these terms on behalf of a company, you represent that you have authority to bind that company.
If you do not agree to these terms, you must not access or use the service.
Service scope
ActLoom provides software workflows for AI compliance assessment, evidence management, and documentation support. Service availability and feature access depend on your subscription plan.
Certain features may be in preview, roadmap, or pilot status and may change over time.
Eligibility and account security
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
You must promptly notify ActLoom of unauthorized access, credential compromise, or any security incident affecting your account.

- Use reasonable security controls for your organization
Subscriptions, billing, and payment
Paid subscriptions renew according to your selected billing cycle unless canceled before renewal. Fees are non-refundable except where required by applicable law.
You authorize ActLoom and its payment providers to charge all applicable fees, taxes, and overage charges associated with your account.
Acceptable use
You may use the service only for lawful business purposes. You must not misuse, disrupt, reverse engineer, or attempt unauthorized access to the platform or related infrastructure.

- No use that infringes third-party rights
Customer data and confidentiality
You retain ownership of your customer data. You grant ActLoom a limited license to process data solely to provide, secure, and improve the service as described in our Privacy Policy and agreements.
ActLoom treats non-public customer data as confidential and applies reasonable technical and organizational safeguards.
Intellectual property
ActLoom and its licensors retain all rights, title, and interest in the platform, software, documentation, and related intellectual property.
Subject to these terms and payment of applicable fees, ActLoom grants you a limited, non-exclusive, non-transferable right to access and use the service during your subscription term.
Third-party services
The service may integrate with third-party tools or providers. Your use of third-party services is governed by their own terms and privacy notices.
ActLoom is not responsible for third-party services, outages, policies, or data handling outside ActLoom-controlled systems.
No legal advice
ActLoom provides technical compliance tooling only. The service does not constitute legal advice, legal opinion, certification, or guaranteed regulatory approval.
Final legal interpretation and compliance determinations remain your responsibility and, where needed, should be validated with qualified legal counsel and relevant authorities.
Service availability and changes
ActLoom may modify, improve, or discontinue features from time to time. We may also perform maintenance that temporarily affects availability.
Where practical, we provide notice of material service changes that may affect your use.
Suspension and termination
You may cancel your subscription according to your plan terms. ActLoom may suspend or terminate access for material breach, non-payment, unlawful use, or legal/regulatory requirements.
Upon termination, your right to access the service ends. Data retention and deletion are handled under applicable policy and contractual obligations.
Warranty disclaimer
To the maximum extent permitted by law, the service is provided on an as-is and as-available basis without warranties of any kind, whether express, implied, or statutory.
Liability limitation
To the maximum extent permitted by law, ActLoom is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
ActLoom's aggregate liability for claims relating to the service is limited to the fees paid by you to ActLoom for the twelve months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless ActLoom from claims, liabilities, damages, and expenses arising from your misuse of the service, violation of law, or breach of these terms.
Governing law and dispute resolution
These terms are governed by applicable EU and local jurisdictional law as specified in your commercial agreement.
Parties will first attempt to resolve disputes in good faith before initiating formal legal proceedings.
